What Is the FCPA?

The FCPA is a United States federal law passed in 1977. It is intended to put a stop to corrupt practices and create a level playing field for corporations that do business in other countries. The FCPA places limitations on the ability of a corporation to offer foreign officials bribes, kickbacks, or other payments in exchange for a competitive advantage. Under the FCPA, it is a criminal offense to pay or offer bribes to solicit business abroad.

The FCPA applies to the employees of publicly traded companies, as well as their:

  • Board members or officers
  • Directors
  • Stockholders
  • Partners
  • Consultants or third-party agents

The U.S. Department of Justice (DOJ) and the Securities and Exchange Commission (SEC) are jointly responsible for enforcing the FCPA. Penalties for those found in violation of the FCPA can include fines, sanctions, and imprisonment. Violators may be temporarily or permanently barred from doing business with the U.S. government.
