FCPA Compliance
The FCPA is a United States federal law passed in 1977. It is intended to put a stop to corrupt practices and create a level playing field for corporations that do business in other countries. The FCPA places limitations on the ability of a corporation to offer foreign officials bribes, kickbacks, or other payments in exchange for a competitive advantage. Under the FCPA, it is a criminal offense to pay or offer bribes to solicit business abroad.
The FCPA applies to the employees of publicly traded companies, as well as their:
- Board members or officers
- Directors
- Stockholders
- Partners
- Consultants or third-party agents
The U.S. Department of Justice (DOJ) and the Securities and Exchange Commission (SEC) are jointly responsible for enforcing the FCPA. Penalties for those found in violation of the FCPA can include fines, sanctions, and imprisonment. Violators may be temporarily or permanently barred from doing business with the U.S. government.
Even if you have an in-house legal team, it can be challenging to establish and enforce a robust legal compliance program. That’s where QuisLex’s managed legal services come in. We pair our legal expertise with efficient program design and innovative technology to design compliance solutions that safeguard your business and employees.
The FCPA has primary provisions:
- The anti-bribery provision makes it unlawful for U.S. companies to make a corrupt payment to a foreign official to secure or retain business.
- The accounting provision requires publicly traded companies to keep accurate accounting records and establish a system of internal controls.
QuisLex can create and implement customized compliance solutions designed to meet your needs. Across all our work, QuisLex draws on our technological expertise to build workflow efficiencies without compromising on process rigor. We are well-versed in many legal platforms and are technology agnostic, so we do not push clients to adopt a specific program or tool. We simply offer straightforward advice to help you make the best choice for your company’s needs.
Beyond the FCPA, we know that companies that work internationally need support to stay in compliance with the evolving landscape of global data protection regulations. We design and implement protocols for legal compliance with:
- The General Data Protection Regulation (GDPR)
- The Personal Information Protection Law (PIPL)
- The Personal Information Protection and Electronic Documents Act (PIPEDA)
- California Privacy Rights Act (CPRA)
- California Consumer Privacy Act (CCPA)
- Virginia’s Consumer Data Protection Act (VCDPA)
- Colorado’s Privacy Act (CPA)
Each engagement is tailored to our client’s needs, so you can minimize your overall risk while improving the efficiency of your day-to-day workflows.
Violation of the FCPA, even if it’s accidental, can interrupt your business operations and seriously harm your company’s reputation. By partnering with QuisLex, you can establish a culture of compliance with tailored procedures to ensure regulatory compliance.
